  1. Scope of Work

    XFINK agrees to design and develop the Client’s website per the specifications outlined in Exhibit A. Any additional work beyond this agreed scope will be managed according to Section 2.

  2. Timeline

    Start Date:08/21/25.
    Completion Date: 09/04/25.

  3. Payment Terms

    Total Fee: $6,749.95 Deposit (Non-Refundable): 50% due upfront. Remaining Balance is due upon project completion and before launch. Late Payments, anything beyond 5 days is subject to the current prime rate plus 2% monthly interest.

  5. Revisions

    This project includes up to three rounds of revisions on the initial wireframes and design. Further revisions are available at a hourly rate of $120.00. This should minimize the need for revisions in the final design stage. Out-of-Scope Requests: Billed at $140.00 per hour with prior approval.

  6. Communication

    The Developer is reachable via email [email protected] and phone 415 580-0704, meet.google.com, zoom.com, etc. Due to the small development window time of 14 days you must be available Monday through Friday for at least 3 hours per day. If you’re on the opposite side of the world, it’s your day light hours and XFINK will deal with it.

  7. Ownership and Licensing

    Client Ownership: Upon full payment, Client holds ownership of the final deliverables. Developer’s Retained Rights: Developer retains rights to code snippets, methods, and any reusable IP created during the project. Credits: Developer reserves the right to display a small credit on the site footer unless explicitly waived.

  8. Intellectual Property and Reuse Rights

    XFINK retains the rights to reuse any original artwork, designs, or assets created for the Client, provided that such use does not directly compete with the Client’s website or business. This may include, but is not limited to, portfolio showcases, promotional materials, or non-competing projects. The Client receives a license to use the final work for their specific business purposes as outlined in Exhibit A.

  9. Warranty and Support

    Post-Launch Bug Fixes: A 30-day period for bug fixes for any functionality within the agreed-upon scope of work. This ensures that all initially specified features are operating as expected. Ongoing Support: For continued support beyond the initial period, XFINK services are available at an hourly rate of $200.00. Alternatively, we can explore a monthly service agreement tailored to your needs, offering a cost-effective solution for regular maintenance and updates.

  10. Confidentiality

    All information shared between Client and Developer is confidential and will not be shared without permission.

  11. Termination

    For Cause: Either party can terminate if the other fails to meet the contract terms after a 14-day grace period. Refunds: Deposit is non-refundable. Any work completed up to termination will be billed accordingly.

  12. Indemnification and Liability

    XFINK is not liable for any indirect damages, data loss, or reduction in SEO metrics resulting from unforeseen circumstances or third-party failures. Client agrees to hold XFINK harmless from any third-party claims related to data loss.

  13. Dispute Resolution

    If things get messy, we’ll resolve disputes via binding arbitration under XFINK‘s Local Jurisdiction. No court battles here. Arbitration can be handled remotely if necessary, via Zoom or another agreed-upon medium.

  1. Initial Strategy:

    We start with Three Stage Wireframes, a blueprint of what the client wants, what the client needs, and how we’ll make it happen. This collaborative process will clarify existing assets, identify any additional ones needed, and outline the functional design. We’re working on a tight timeline here: 14 days from our go date (excluding weekends), dedicating 8-hour workdays across 10 business days to deliver five custom-designed pages and a fully functional blog.

  2. Custom WordPress Build

    XFINK builds the clients WordPress site from our owen developed starter theme which will become your custom theme, built using modern tools like Webpack or Vite, SCSS, and PurgeCSS.

  3. Assets / Imagery / Illustrations

    Photography is not included. Editing, enhancing, optimization (compression, resizing, format conversion) as part of development are included. XFINK will use stock images if we must, at your request and will include the time to acquire them. Stock Image Fees are the clients responsibility, there’s a difference acquiring your photos from a free service like unsplash.com to paid like Depositphotos.com and Getty Images. For the price of four Getty Images you can get a days worth of photography with XFINK.

  4. DNS and Domain Setup:

    XFINK will handle DNS setup and domain registration for one year, Cloudflare (or the clients preferred domain name registrar / DNS service, though Cloudflare is our recommendation).

  5. Foundational SEO

    XF delivers clients site with researched SEO integration and Open Graph protocol metadata across all delivered pages and blog entries.

  6. Social Media Setup:

    The setup of up to three social media platforms of clients choice are included, integration with new artwork.(logo, banner, and tagline).

  7. Google Business and Analytics Integration

    XF sets you up properly with google business and hooks your site into google analytics.

  8. Hosting and Maintenance:

    Hosting and SSL is included for the first year on Google Cloud. XF handles all backups and server updates. After the first year, hosting renews at $40.00 per month.

  9. Complete Ownership:

    The delivered site is all the clients. You can transfer it anywhere you choose.
